Terms & Conditions
All transactions for the supply of goods or services made with PLAN D DESIGN herein referred to as ‘the Company’, is a ‘Contract’ between the Company and [Client], herein referred to as ‘the Client’. This Contract is subject to the terms and conditions of sale outlined in the below sections of this document. The applicability of any terms and conditions or any other general terms and conditions of the Client is hereby explicitly excluded even if the Client refers to these conditions in the confirmation of an order or any other subsequent document. Any contracting Party based on this quotation shall be considered as in acceptance of our quotation’s terms and conditions.
1. Prices
All prices are quoted in GBP and are excluding VAT and ex-works unless otherwise stated in the quotation.
2. Quotation Validity
All price and delivery quotations are valid for 28 days.
The Company reserves the right to re-quote for any contract accepted outside of the given period of validity. The Company also reserves the right to amend quotations without prior consultation.
3. Orders and Invoices
The Client will indicate consent to start a project stage by providing a written purchase order on company letterhead referring to this quotation number and the relevant stage to which consent to start is being given where required. The Company will issue the Client invoices accordingly as and when milestones are met and payments are required.
4. Payment
Except where credit accounts have been approved in writing by the Company, payment shall be in full by cash with order or against proforma invoice or when goods or services to are delivered and made available to the Client. All payments shall be made in Pounds Sterling with no bank charges or costs to the Company irrespective of the currency of the invoice. Late payments will be charged at 8.0% above the HSBC base rate from date of invoice. Costs due to recovery of late payments will be borne by the Client.
Payment terms for the work are stated on this quotation.
5. Variations
No variations to this Contract will be agreed unless done so in writing in a revised proposal and quotation, signed by both the Company and the Client.
6. VAT Duties and Taxes
All prices are quoted exclusive of VAT import duty and taxes. VAT will be charged on all UK Contracts at the rate in operation at the relevant tax point date. All applicable duties and taxes shall be paid by the Client.
7. Delivery
The Client must understand the nature of product development work and risks associated with it. The Company always endeavours to deliver on or before the date specified, but time for delivery shall not be of the essence and the Company shall not be liable for any damages resulting from delayed deliveries howsoever caused. Delivery dates given in any quotation are subject to alteration on acknowledgement of order when written notification shall be given to confirm.
8. Cancellation
Orders can only be cancelled, in full or in part, with the Company’s expressed written consent. Any cancellation in full or in part will be subject to terms and conditions which indemnify the Company against any associated losses.
9. Title
The Client shall not have title to goods until full payment for them has been received by the Company but the goods shall be at the risk of the Client from the date of delivery.
10. Patents
The Client is to ensure the design stays within the boundaries of any design rights that are in place and d
oes not infringe other Intellectual Property in the relevant market sector.
The Company shall exercise all reasonable care not to infringe any patents when designing products to the Client’s specification but shall not indemnify the Client against any claims arising from accidental infringements.
11. Force Majeure
If the Contract shall become wholly or partly impossible to perform due to causes outside the control of the Company, such causes to include but not be limited to war, civil insurrection, force majeure, Government action and industrial disputes, the Company shall be permitted to rescind the Contract. If deliveries of goods or services shall be delayed as a result of such causes, the Company shall not be construed as being in breach of contract.
12. Bankruptcy
If the Client shall become bankrupt or insolvent or enter into any agreement with his/her creditors or being a limited company shall commence to be wound up or suffer a receiver to be appointed the Company shall be at liberty to treat the contract as repudiated and shall be relieved of further performance to the Contract without prejudice to the Company’s right to claim for damages for breach of Contract.
13. Guarantees and Liabilities
Goods are sold without a guarantee except where stated otherwise in writing by the Company notwithstanding which the Company shall not be liable for any loss or consequential damage howsoever caused.
Where goods are sold subject to guarantee claims shall be submitted to the Company in writing within seven days of alleged failures and goods shall be returned to the Company at the cost and risk of the Client.
All guarantees and liabilities shall be invalidated by any use of goods outside specified electrical, mechanical or environmental limits; or for purposes for which they were not sold; or by any attempt by the Client to repair alleged failures, unless otherwise agreed in writing.
To the fullest extent permissible by law, liability of the Company is limited to the value of this quotation.
14. Damage or Loss in Transit
Claims for damage or shortages by the Client must be notified to the Company and the carriers within seven days of delivery. Claims for loss must be so notified within seven days of the despatch date shown on the Advice note.
15. Export Restrictions
All orders are accepted subject to confirmation by the Purchaser that UK Government and, where appropriate, US Board of Foreign Commerce regulations shall be observed in relation to goods purchased from the Company. All orders are accepted subject to UK Government DTI export licence regulations in force from time to time where applicable.
16. Further Conditions of Sale
The Company may impose further conditions of sale by stating those conditions in a quotation and accompanying technical proposal. The Company may vary the present terms and conditions by stating such variations in a quotation.
17. Legal Construction
All Contracts shall in all respects be construed and operate as English contracts in conformity with English law.
- Product Safety & CE Marking. As the manufacturer, [Client] is required to demonstrate that your product(s) comply with any relevant product safety regulations for CE marking. PLAN D DESIGN will define the appropriate standards that we believe apply to our scope of work and will require acceptance from [Client] that all applicable legislative requirements have been met satisfactorily. - Engineering General Technical Conditions. CAD Surfaces shall be constructed within a tolerance to the scan data which is to be agreed between PLAN D DESIGN and [Client].
- When replicating scan geometry of machined features, the maximum permissible deviation for feature size for primitive generated CAD shall be agreed prior to commencement of work upon receipt of purchase order. Feature position will depend on design intent assumptions to ensure correct parallelism, perpendicular, angularity and concentricity with common datums and therefore may not fall within the same tolerance band.
- When replicating scan geometry for holes and threaded holes, the starting hole position shall be within +/-0.5mm, from CAD to scan, unless otherwise agreed with [Client].
- Text, logos and part numbers will not be modelled when replicating scan geometry unless specifically requested.
- When replicating scan geometry, thread specifications shall be confirmed by [Client] and will be modelled as the appropriate minor diameter for the threaded hole.
- Threaded holes can also be modelled if their size can be confirmed from the actual component, or the diameter can be taken as the minor diameter if this can be measured from the scan data (this is a last resort). Depth of threads may not be accurately modelled if they cannot be scanned/measured or the depth supplied.
- Flash/Sprues/Damage will not be modelled unless specifically requested, when replicating scan geometry.
- Common geometric features will be modelled once and then patterned/arrayed if and where appropriate.
- With design intent modelling during the replication of scan geometry, there is the potential for greater deviation from the scan data than the auto/rapid surfacing method. The level of this will be dependent on the tolerances to which the part was manufactured and any wear or damage it has suffered as well as PLAN D DESIGN’s interpretation of the original design intent.
- The version of CAD used is dependent on the version currently installed in PLAN D DESIGN’s office. This may not be the latest release and is subject to change without notice. If a specific CAD format is required, then this must be confirmed before commencement of the project.
- Components will be designed and modelled using nominal values. Tolerances are applied to drawings and as such the component manufacture shall conform to the requirements of the drawing, unless otherwise stated.
- When the creation of a drawing has been declined by the client resulting in the component being manufacturing direct from CAD, it is recommended that features requiring a unilateral tolerance be modelled using the mid limit of the tolerance band. The application of maximum material condition to a feature should also be considered for closely toleranced interfaces between components, as this approach may provide greater flexibility for adjustment to ensure that the desired fit is achieved post manufacture.
20.Data Capture Technical Conditions.
- GOM ATOS, K scan, Sim Scan or Metro X optical scanners will be used to capture the surface geometry.
- GOM TRITOP photogrammetry system will be used if the component is longer than twice the measurement volume selected for the scan or specifically requested by the client.
- Scan will be completed at PLAN D DESIGN’s office unless specifically requested by the client. The scanning systems are fully mobile for scanning onsite at the client’s facilities worldwide. Mobile scanning is subject to travel and subsistence charges.
- Parts are to be supplied clean and free from any grease and dirt.
- Scanning will only capture ‘line of sight’ geometry and may not collect complete data at the bottom of bores/holes and on undercut features.
- Any missing surface data can be recreated and filled in the scanning software if necessary. This is generally not required when using the data as reference for ‘design intent’ parametric CAD modelling, however it is necessary when the scan data is being used for rapid surfacing.
- Parts may have to be sprayed with MAGNAFLUX SPOTCHECK SKD-S2 (or equivalent) to ensure the quality of the data captured by the scanner dependent on their surface colour and reflectivity.
- The parts will have self-adhesive calibrated markers applied to their surfaces. If the parts are sectioned to scan the internal geometry the markers will not be removed after the scanning is complete.
- If CT scanning is selected the parts will be sent to our CT scanning partner.
- The data collected by the optical and laser scanning systems is generally of higher quality than the CT scanner. The resolution of the CT scanner is governed by the maximum dimension of the part (a diagonal) and the density of the material it is manufactured from, whereas the GOM system’s resolution is determined by the measurement volume used. For these parts the GOM system will equal or better the CT scan resolution and this resolution does not decrease as the part size increases.
